End User License Agreement

This is the license that lets you install and use OMNICORP plugins. It's separate from our Terms of Service, which cover using the website.
OMNICORP is a trade name of RAC Production Inc., an Oregon corporation with a corporate mailing address at 501 Madison Avenue, Suite 704, New York, NY 10022-5501. In this agreement, "we," "us," and "OMNICORP" mean RAC Production Inc. "You" means the person or company that bought the plugin. "Plugin" means any audio software product you license from us — VST3, Audio Unit, or Standalone.
By installing or using a plugin, you agree to this EULA. If you don't agree, don't install it, and request a refund under our Refund Policy.
What you're getting
A non-exclusive, non-transferable, perpetual license to install and use the plugin you bought, on up to three machines that you own or control, for personal or commercial audio work.
"Three machines" means three computers under your control at the same time. You can move the license to a new machine if you replace one — just deactivate the old one or contact support.
The license is granted to a single user. If you're a company, you'll need a separate license for each person who uses the plugin.
What you can do with the plugins
Make music. Make podcasts. Score films, games, ads, and trailers. Record records. Mix and master other people's records. Do sound design. Run plugins live.
Anything you make with the plugins is yours. We don't take a royalty, we don't ask for credit, and we don't claim any ownership of your output. You can release your work commercially, sell it, license it, and keep all the money.
You can use the plugins on client work and on records you don't own. The license follows you, the user, not the project.
What you can't do
- Reverse engineer, decompile, or disassemble the plugin, except to the extent the law specifically allows
- Redistribute, resell, sublicense, lend, lease, or give away the plugin or its installer
- Share your account, your installer file, or your license with anyone else
- Bundle the plugin into other software or hardware products
- Use the plugin or the audio it produces to train machine learning models that compete with audio software
- Use the plugin to create derivative or competing plugin software
- Use the plugin in life-critical, safety-critical, medical, or other systems where a software failure could cause injury or significant harm
- Remove or alter copyright notices, trademarks, or attribution within the plugin
If you do any of this, your license ends automatically.
Updates
We may release updates — bug fixes, compatibility patches, occasional new features — at our discretion. Updates are delivered through your account on omnicorp.audio.
We don't promise updates forever. We don't promise compatibility with every future version of macOS, Windows, or any DAW. We don't promise new features. If we discontinue a plugin, you keep the version you have, and it'll keep working as long as your system supports it.
Refunds
Refunds are governed by our Refund Policy. The short version: 14 days, full refund on request. Read the full policy for details.
How this license ends
This license lasts forever, as long as you follow this agreement. It ends automatically if you breach it.
If your license ends, you have to stop using the plugin and uninstall it from your machines. You don't get a refund for breaching the agreement.
You can also end the license at any time by uninstalling the plugin. That doesn't entitle you to a refund outside the Refund Policy window.
No DRM, but please play fair
The plugins don't have copy protection or online activation. They run offline, indefinitely, on as many machines as you can install them on.
We chose this because we trust musicians and we don't want our software to break in five years if our servers go away. But it means the license is enforceable on the honor system. Please respect it. If you need more seats, buy more licenses. If you got a refund, please uninstall.
As-is, no warranty
The plugins are provided "as is" and "as available," without warranty of any kind. We don't promise the plugins will be free of bugs, that they'll work with every host or operating system, that they won't conflict with other plugins, or that they'll meet your needs.
To the fullest extent allowed by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade.
You're responsible for backing up your projects and your audio. We're not responsible for lost work, lost recordings, corrupted projects, or anything else that goes wrong while you're using the plugin.
Limitation of liability
To the fullest extent allowed by law, OMNICORP and RAC Production Inc. are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, lost recordings, or business interruption, even if we knew such damages were possible.
Our total liability to you for any claim related to a plugin is limited to the amount you paid for that plugin.
Some jurisdictions don't allow these limits, and in those places our liability is limited to the smallest amount the law allows.
Third-party software
Some plugins may include third-party open source components. Their licenses are included in the plugin's documentation or About screen. Those licenses apply to those components alongside this EULA.
Export
You agree not to export or re-export the plugins to any country, person, or entity prohibited by US export laws.
Governing law
This EULA is governed by the laws of the State of Oregon, without regard to its conflict of laws rules. Any dispute will be brought in the state or federal courts located in Multnomah County, Oregon, and you consent to the jurisdiction of those courts.
Other things
If any part of this EULA is found unenforceable, the rest still applies. This EULA is the whole agreement between us about the plugins, together with the Terms of Service and the Refund Policy.
