OMNICORP

These terms cover what you can expect from OMNICORP and what we expect from you when you use our website or buy our plugins.

OMNICORP is a trade name of RAC Production Inc., an Oregon corporation with a corporate mailing address at 501 Madison Avenue, Suite 704, New York, NY 10022-5501. In these terms, "we," "us," and "OMNICORP" mean RAC Production Inc. "You" means the person using the site or buying a plugin.

Accepting these terms

By using omnicorp.audio, creating an account, or buying a plugin, you agree to these terms. If you don't agree, please don't use the site.

We may update these terms over time. When we do, we'll post the new version here with an updated date. If the change is meaningful, we'll try to give notice through the site or by email. Continuing to use the site after a change means you accept the updated terms.

Who can use OMNICORP

You need to be at least 18 years old to buy from us or create an account. If you're using the site on behalf of a company, you need to have authority to bind that company to these terms.

You're responsible for keeping your account credentials safe. If someone else uses your account, we'll treat their actions as yours unless you tell us otherwise.

You can have one account per person. Don't create accounts under false names, share accounts with other people, or sell or transfer your account.

Buying plugins

Plugins are sold as one-time purchases. When you buy a plugin, you get perpetual access to download it from your account, and a license to use it under our End User License Agreement.

Prices are shown in US dollars. Payments are processed by Stripe. We don't see or store your card number.

The license you receive is governed by our End User License Agreement (EULA). Refunds are handled under our Refund Policy. Both are separate documents available on this site.

We may update, change, or discontinue specific plugins over time. If we discontinue a plugin you own, you'll keep access to the version you've already downloaded; we just may not release further updates for it.

How you can use the site

You can browse the site, create an account, buy plugins, download what you've purchased, and contact support. That's what it's for.

You agree not to:

Scrape, crawl, or systematically extract data from the site beyond normal browsing
Resell or transfer your account or your purchases
Use anyone else's identity, payment method, or account
Try to break, probe, or interfere with the site's security
Upload or transmit anything malicious
Use the site for anything illegal

If you do any of this, we may suspend or close your account.

Intellectual property

We own the OMNICORP name, the RAC Production name, the site design, the plugin software, the marketing copy, and everything else we make. Buying a plugin gives you a license to use it, not ownership of it.

Music, sound design, recordings, and any other creative work you make using our plugins is yours. You don't owe us royalties or credit. You can release it commercially. You can use our plugins on client work.

What you can't do is redistribute the plugins themselves, repackage them, bundle them into other software, or use them as a basis for competing plugin products. Those rights stay with us.

Accounts and termination

You can close your account at any time by emailing support@omnicorp.audio.

We can suspend or close your account if you violate these terms, the EULA, or applicable law, or if we have a reasonable concern about fraud or abuse.

If we close your account for cause, your license to use the plugins ends and you should uninstall them. If you close your own account voluntarily, your existing licenses remain valid under the EULA, but you'll lose the ability to re-download installers from us.

Disclaimers

The site and the plugins are provided "as is" and "as available." We don't promise the site will always be online, that downloads will always succeed, or that plugins will work in every host, on every system, with every other plugin. We don't promise the site or the plugins are free of bugs or defects.

To the fullest extent allowed by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the fullest extent allowed by law, OMNICORP and RAC Production Inc. are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, lost recordings, or business interruption, even if we knew such damages were possible.

Our total liability to you for any claim related to the site or a plugin is limited to the amount you paid us in the twelve months before the claim arose, or one hundred US dollars, whichever is greater.

Some jurisdictions don't allow these limits, and in those places our liability is limited to the smallest amount the law allows.

Indemnity

If your use of the site or our plugins causes a third party to bring a claim against us, you agree to defend and indemnify us against that claim, including reasonable legal fees, to the extent the claim arises from your conduct, your content, or your breach of these terms.

Governing law and disputes

These terms are governed by the laws of the State of Oregon, without regard to its conflict of laws rules. Any dispute arising out of these terms or your use of OMNICORP will be brought in the state or federal courts located in Multnomah County, Oregon, and you consent to the jurisdiction of those courts.

Nothing in this section prevents either of us from seeking injunctive relief in any court of competent jurisdiction.

Other things

If any part of these terms is found unenforceable, the rest still applies. If we don't enforce a right immediately, we haven't waived it. These terms, together with the EULA, the Privacy Policy, and the Refund Policy, are the whole agreement between us about the site and the plugins.
